Item 1.01. Entry Into a Material Definitive Agreement.
On March 3, 2021, Hillenbrand, Inc., an Indiana corporation (the “Company”), completed its previously announced underwritten public offering (the “Offering”) of $350,000,000 aggregate principal amount of 3.7500% Senior Notes due 2031 (the “Notes”). The Notes were offered and sold pursuant to a prospectus, dated September 9, 2019, forming a part of the Company’s shelf registration statement on Form S-3 (Registration No. 333-233668), and a prospectus supplement, dated February 24, 2021. The Notes were issued under an Indenture, dated July 9, 2010 (the “Base Indenture”), between the Company and U.S. Bank National Association, as trustee (the “Trustee”), as supplemented by Supplemental Indenture No. 7, dated March 3, 2021, among the Company, the subsidiary guarantors party thereto and the Trustee (the “Seventh Supplemental Indenture” and, together with the Base Indenture, the “Indenture”). The Indenture and the forms of the Notes provide, among other things, that the Notes are senior unsecured obligations of the Company.
Interest is payable on the Notes on March 1 and September 1 of each year beginning on September 1, 2021, until their maturity date of March 1, 2031.
The Company may redeem the Notes at any time in whole, or from time to time in part, prior to March 1, 2026, at its option at the “make-whole” redemption price, as described in the Indenture. The Company may also redeem the Notes at any time in whole, or from time to time in part, on or after March 1 of the relevant year listed as follows:
· | 2026 at a redemption price of 101.875%; |
· | 2027 at a redemption price of 101.250%; |
· | 2028 at a redemption price of 100.625%; and |
· | 2029 and thereafter at a redemption price of 100.000%. |
At any time prior to March 1, 2024, the Company may redeem up to 40% of the aggregate principal amount of the Notes with the proceeds of one or more Equity Offerings (as defined in the Indenture) at a redemption price of 103.750% of the principal amount of the Notes being redeemed. In each of the above cases, the Company will also pay any accrued and unpaid interest to, but excluding, the applicable redemption date.
Subject to certain limitations, in the event of a change of control repurchase event, the Company will be required to make an offer to purchase the Notes at a price equal to 101% of the principal amount of the Notes, plus any accrued and unpaid interest to, but excluding, the date of repurchase.
The Company’s payment obligations under the Notes are fully and unconditionally guaranteed on an unsecured senior basis by each of its subsidiaries that guarantees the Company’s Third Amended and Restated Credit Agreement, dated as of August 28, 2019, subsequently amended on October 8, 2019, January 10, 2020, May 19, 2020 and January 29, 2021, by and among the Company and certain of its affiliates, the lenders party thereto and JPMorgan Chase Bank, N.A., as administrative agent, as amended. The Notes are not guaranteed by any of the Company’s foreign subsidiaries. The Indenture also contains certain limitations on the Company’s ability to incur liens or enter into sale leaseback transactions, as well as customary events of default.
The Company intends to use the net proceeds from the Offering for general corporate purposes, including debt repayment, such as the partial repayment of borrowings under its $500 million term loan facility and the replenishment of available cash after such debt repayment.
A copy of the Base Indenture is referenced as Exhibit 4.1 to this Current Report on Form 8-K, a copy of the Seventh Supplemental Indenture is attached as Exhibit 4.2 to this Current Report on Form 8-K, and a copy of the form of Notes is attached as Exhibit 4.3 to this Current Report on Form 8-K, and each of the foregoing is incorporated by reference herein. The above description of the material terms of the Base Indenture, the Seventh Supplemental Indenture, and the Notes does not purport to be complete and is qualified in its entirety by reference to such Exhibits.
