This Registration Statement on Form S-8 (the “Registration Statement”) of Hillenbrand, Inc. (the “Company” or the “Registrant” or “we” or “our”) is being filed pursuant to General Instruction E to Form S-8 under the Securities Act to register 2,700,000 additional shares of the Company’s common stock, no par value (the “Common Stock”), under the Amended and Restated Hillenbrand, Inc. Stock Incentive Plan (the “Plan”).
